On August 5, 2010, KLA-Tencor’s Board of Directors approved an amended and restated version of the company’s Standards of Business Conduct (“SBC”). The SBC was redrafted to reflect a values-based (as opposed to rules-base) approach to the SBC. Accordingly, the SBC was reorganized around critical codes of conduct and reformatted to improve readability. Moreover, updates were made to specific policies, (including gifts, expenses and outside Board memberships policies) to reflect Company practices and legal developments.
